Terms of Service
Please read these Terms of Service carefully before creating an account or using the Treffix platform. By creating an account, you agree to be bound by these terms.
1. Introduction & Acceptance
Treffix is a performance-based creator marketing platform operated by Lucyd B.V., a Dutch limited liability company (the "Operator", "Treffix", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Treffix platform, website, APIs, and any related services (collectively, the "Platform").
By creating an account, clicking "I agree", or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
We will notify you of material changes by email. Where a change affects future campaign or payment obligations, Treffix may require express acceptance of the new version before another campaign can be launched.
2. Platform Description
Treffix is a performance-based creator marketing marketplace that connects brands with content creators. The Platform enables:
- Brands to create marketing campaigns ("Bounties") with payouts tied to verified performance metrics
- Creators to discover, claim, and submit video content on TikTok and Instagram in exchange for performance-based compensation
- Automated view verification via the TikTok and Instagram APIs and proprietary fraud detection
- Performance-based payouts triggered when a submitted video crosses agreed view thresholds
- Automated payments and payouts through Stripe Connect
The Creator supplies the sponsored-marketing service directly to the Brand. The Brand is the customer of that service and owes the Creator the earned compensation plus any VAT applicable to the Creator's service. Treffix acts as a disclosed intermediary and separately supplies intermediation and Platform services to the Brand and the Creator.
Treffix administers the campaign order, verifies performance, calculates the amounts due, and instructs Stripe to process and route the payment. Stripe is a payment processor; its technical configuration does not change the supplier, customer, or intermediary roles recorded in these Terms and the frozen campaign and submission records. Disputes are governed by Section 9.
3. Account Types & Eligibility
3.1 Creator Accounts
To register as a creator, you must:
- Own and control the TikTok account you connect to Treffix
- Own and control any Instagram Professional account you connect to Treffix
- Not use purchased, borrowed, managed, or fake TikTok or Instagram accounts
- Maintain only one Treffix account per TikTok or Instagram account
- Have the legal right to produce and submit the content required by campaigns
- For campaign work that can lead to payment, operate as an active Dutch sole proprietor registered in the KVK under the exact legal form "Eenmanszaak" and provide the corresponding eight-digit KVK number
- Complete Stripe Connect onboarding for that sole proprietorship, including the representative-identity, bank-account, and tax-information checks Stripe requires
- Before your first campaign submission that can lead to payment, choose the applicable VAT situation and accept the paid-work, settlement, and self-billing terms; you may browse campaigns before completing these steps, but you may not submit payable work
- Keep your KVK registration, VAT choice, and identity and representative information supplied through Stripe accurate and current
3.2 Brand Accounts
To register as a brand, you must:
- Be a legally registered business or an individual with the authority to bind an organization
- Have a valid Stripe payment method on file before any creator can submit to a published campaign
- Provide accurate campaign briefs, budgets, and requirements
- Have the legal right to run the marketing campaigns you create on the Platform
3.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Treffix immediately at legal@treffix.com if you suspect unauthorized use of your account.
Before payable work is submitted, Treffix checks the KVK Basisprofiel returned for the number you provide. We require a matching eight-digit number, an active registration, the exact legal form "Eenmanszaak", and complete register name and registered-address evidence. This register check establishes those returned registration facts; it does not establish that a person owns, controls, or is authorised to represent the registered business. Stripe separately performs the onboarding checks it requires. Treffix binds the KVK and tax evidence to the current Stripe Connected Account, its current representative, and an identity-version counter. If that account or representative context changes, the prior evidence becomes stale and you must complete the required checks again before another payable submission.
Creators must update their KVK registration, VAT choice, and Stripe onboarding information when their circumstances change, and must complete the tax-identity step before their first campaign submission that can lead to payment. The Creator must provide accurate information that belongs to the sole proprietorship and representative using the account. Treffix processes a BSN only for applicable DAC7 identification, verification, reporting, correction, and audit duties through its separately secured tax-identity vault. Treffix remains responsible for reasonable validation and retention of required evidence, correct Platform documents and reports, and investigation of red flags and correction requests.
4. Social Platform Authorization
4.1 TikTok Account Authorization
By connecting your TikTok account to Treffix, you expressly authorize Treffix to access the following data via the TikTok Open API on your behalf:
- Your TikTok profile information: display name, username, and TikTok open_id
- View counts for specific TikTok videos you submit as part of campaign participation
This access is used exclusivelyfor verifying your content's performance and calculating campaign payouts. We do not access your TikTok inbox, contacts, followers, or any content beyond what is necessary for campaign verification.
Treffix stores your TikTok OAuth access token and refresh token to enable ongoing, automated view count synchronization during the campaign window. This is necessary for the Platform to function. See our Privacy Policy for details on how this data is stored and protected.
You may revoke Treffix's access to your TikTok account at any time through TikTok's "Manage app permissions" settings. Be aware that revoking access will prevent view tracking and may result in forfeiture of pending earnings for any active campaign submissions.
Treffix is an independent platform and is not affiliated with, endorsed by, or sponsored by TikTok or ByteDance Ltd.
4.2 Instagram Account Authorization
By connecting your Instagram account to Treffix, you expressly authorize Treffix to access the following data via the Instagram API on your behalf:
- Your Instagram profile information: user ID and username
- View counts and engagement metrics (views, likes, comments, shares) for Instagram Reels you submit as part of campaign participation
This access is used exclusivelyfor verifying your content's performance and calculating campaign payouts. We do not access your Instagram inbox, contacts, followers, stories (unless submitted to a campaign), or any content beyond what is necessary for campaign verification.
Treffix stores your Instagram OAuth access token to enable ongoing, automated view count synchronization. This token is valid for approximately 60 days and is automatically refreshed. See our Privacy Policy for details on how this data is stored and protected.
You may disconnect your Instagram account at any time through your Treffix connections page or through Instagram's Website permissions settings. Be aware that disconnecting will prevent view tracking and may result in forfeiture of pending earnings for any active Instagram campaign submissions.
Treffix is an independent platform and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
5. Campaign Rules & Payout Mechanics
5.1 Brand Obligations
Treffix does not require Brands to deposit campaign funds upfront. At each launch, the Brand records a separate campaign order confirming the maximum payment obligation, the representative's authority, and authorisation for future off-session charges. The Brand must maintain a valid payment method with sufficient available spending capacity from publication onward. A card limit or failed payment does not limit or cancel a payment obligation already incurred under a launched campaign. The Brand also remains responsible for accurate, lawful, and achievable campaign briefs and requirements.
5.2 Three-Stage Earning Model
Each campaign operates on a three-stage earning model based on verified view counts:
- Dangerzone (below threshold): Views are tracking. No payout is earned yet.
- Unlocked (≥ 100% of target): The base payout is earned, plus additional per-view earnings above the threshold, calculated as:
BASE_PAYOUT + (views − threshold) × rate_per_view, up to the earnings cap. - The Treffer (earnings cap reached): Maximum payout achieved. No additional earnings accrue beyond the cap defined by the brand.
5.3 Payout Release
Earned funds are released to the creator after both of the following conditions are met:
- The 7-day earning window for the submission closes
- The brand approves the submitted video
The Creator reward shown for a campaign is exclusive of VAT. The Creator's declared VAT lane is frozen for that submission: the Brand pays 21% Creator-service VAT when the Creator is in the normal 21% VAT regime, and no Creator-service VAT when a valid KOR lane applies. At release, Stripe charges the Brand's saved payment method for the reward, applicable Creator-service VAT, and the disclosed Treffix fees and VAT, then routes the Creator's net amount to the Creator's connected Stripe account.
5.4 Payout Finality
Once a payout has been released, it is final subject to Section 9 and mandatory law. A Brand retains rights that cannot legally be excluded, including the ability to dispute a card payment with its issuer. However, an unfounded chargeback does not discharge the underlying payment obligation and may constitute a breach of these Terms.
5.5 Earning Window
The earning window begins when a creator's video is approved for campaign participation and ends 7 days later. View counts accumulated after the window closes do not count toward payouts for that submission.
6. View Verification & Fraud Detection
6.1 API-Only Verification
All view counts used for payout calculations are sourced directly and exclusively from the TikTok and Instagram APIs. No self-reported or manually entered view counts are accepted. View data is refreshed automatically throughout the earning window.
6.2 Proprietary Fraud Detection
Treffix operates a proprietary fraud detection layer that runs on every view count update. This system automatically identifies and excludes:
- Suspicious view spikes inconsistent with organic content performance patterns
- Known bot traffic signatures and automated viewing patterns
- Artificially inflated engagement from third-party services
Views identified as fraudulent are excluded from payout calculations. Brands are never charged for fraudulent views. Flagged submissions may enter a "Reviewing" status pending investigation.
6.3 Prohibition on View Manipulation
Creators are strictly prohibited from using any service, tool, software, or method to artificially inflate view counts on submitted videos. This includes, but is not limited to: purchased views, bot services, view exchange networks, VPN-based view farming, and incentivized viewing schemes.
Violation of this prohibition results in:
- Immediate disqualification from the campaign
- Permanent termination of your Treffix account
- Forfeiture of any earned or pending amounts
- Potential legal action for damages caused to brands
7. Content & Submission Rules
7.1 Ownership
Creators retain full copyright ownership of the video content they produce and submit. Treffix does not claim ownership of creator content.
7.2 License to Treffix
By submitting a video to a campaign, you grant Treffix a limited, non-exclusive, royalty-free, worldwide license to display, reproduce, and transmit the video solely within the Platform for the purposes of brand review, performance analytics display, and dispute resolution. This license terminates when the campaign submission is finalized or removed.
7.3 License to Brands
By submitting a video to a campaign and accepting the campaign terms, you grant the relevant brand a license to use your submitted video content as specified in the campaign brief. The scope, duration, and permitted uses of this license are defined in the individual campaign brief.
7.4 Prohibited Content
You may not submit content that:
- Is illegal or promotes illegal activity
- Contains hate speech, discrimination, or dehumanizing language
- Contains graphic violence, adult content, or sexually explicit material
- Infringes on third-party intellectual property rights
- Makes false or misleading claims about products or services
- Violates TikTok's Community Guidelines or Terms of Service
- Violates Instagram's Community Guidelines or Terms of Use
- Contains spam, malware, or deceptive links
Submission of prohibited content results in immediate campaign disqualification and may result in account termination.
8. Payments & Fees
8.1 Platform Service Fee & BTW
The standard Brand service fee is 17% of the Creator reward, excluding VAT, and Treffix charges 21% VAT on that fee. The standard Creator service fee is 5% of the Creator reward, excluding VAT, and Treffix charges 21% VAT on that fee. The Creator fee and its VAT are deducted or set off from the amount routed to the Creator.
Before a submission, the applicable rates and maximum amounts are disclosed and frozen in the campaign and submission records. A lower founding, promotional, or negotiated rate applies only when it was disclosed and frozen before that submission. A later rate change does not alter work already submitted. The Brand's charge consists of the Creator reward, the Creator-service VAT required by the Creator's frozen VAT lane, and the Brand fee plus VAT. The Creator's routed amount consists of the Creator reward plus any Creator-service VAT, less the Creator fee and VAT.
8.2 Payment Processing
All card payments are processed by Stripe, Inc. and Stripe Payments Europe, Limited ("Stripe"). The current integration uses Stripe Connect destination charges: Stripe processes the payment and routes the intended net amount to the Creator's connected Stripe account. Treffix does not provide a user wallet, stored-value balance, escrow account, or free-form money transfers, and a displayed campaign budget is only a contractual cap. Stripe's processing configuration does not determine or change the supplier, customer, intermediary, invoicing, or tax roles stated in these Terms. By using payment features, you agree to the applicable Stripe agreements and Stripe Privacy Policy. Treffix does not store full card numbers or CVC codes.
8.3 Self-billing & Corrections
The Brand, as customer of the Creator service, authorizes self-billing. Acting as the Brand's technical intermediary, Treffix may generate and make available a self-billed Creator-to-Brand invoice or settlement document on the Brand's behalf. The Creator remains the supplier and must review the document and promptly report an objection or error. Treffix separately issues documents for its Brand and Creator service fees.
Finalized documents are not overwritten. A correction is made through a linked credit note and, where required, a corrected replacement document. The Creator may submit evidence and object to a self-billed document; the Brand and Treffix will investigate and retain the correction trail.
8.4 Payout Finality
Once a Brand approves a video submission and the payout is released, the transaction is final subject to the internal dispute process, mandatory law, and card-network rules. A chargeback does not extinguish the underlying debt when the campaign obligation was validly incurred. Treffix may provide Stripe or the issuer with evidence of the campaign order, authorisation, performance, approval, and communications when responding to a dispute.
8.5 Authorisation, Failed Payments & Outstanding Debt
When registering a card and launching a campaign, the Brand expressly authorises future off-session charges. The campaign order states how amounts are determined and the overall maximum. Following a failed payment, Treffix may immediately pause all Brand campaigns, block new Creator claims, notify the Brand and its verified emergency contact, and take reasonable collection and recovery measures. Obligations already incurred remain due together with applicable statutory commercial interest and reasonable extrajudicial collection costs to the extent permitted by law.
8.6 Taxes
The Creator is responsible for truthful, current declarations and for the Creator's own income-tax, VAT-return, and registration obligations. The Brand is responsible for its own reporting and any VAT recovery. Treffix is responsible for VAT on its own fees, the Platform documents and records it undertakes to issue or retain, reasonable validation and correction handling, and its applicable Platform-reporting duties, including DAC7. Creator-service VAT follows the Creator's frozen declared lane and is paid by the Brand. The DAC7 exclusion for fewer than 30 transactions and no more than €2,000 applies to sales of goods and does not automatically apply to personal services such as Creator work; where reporting is required, Treffix may report Creator and transaction information regardless of the amount earned.
9. Disputes & Appeals
9.1 Creator Appeals
If a Brand rejects a Creator's video submission, the Creator may submit a formal appeal within 5 days of the rejection notice. Appeals must clearly explain how the content satisfies the original campaign brief. Treffix makes a final determination within the internal platform process. This does not exclude access to a competent court or other rights that cannot legally be excluded.
9.2 Brand Disputes
Brands may flag a Creator submission as suspicious or non-compliant within the 7-day earning window. Flagged submissions enter "Disputed" status. No payout is released until the internal investigation is complete. Treffix's decision is final within the internal platform process, without prejudice to mandatory law.
9.3 Platform Decisions
Treffix assesses platform disputes using the recorded campaign order, brief, performance data, approvals, and communications. This internal process is not an arbitration agreement and does not remove either party's access to the court having jurisdiction under Section 15.
9.4 Escalation
If you believe a decision is incorrect, you may escalate through legal@treffix.com. Treffix will reassess the relevant records and provide reasons for its final internal decision.
10. Prohibited Conduct
You agree not to:
- Create multiple Treffix accounts or false identities
- Buy, sell, transfer, or share Treffix accounts
- Use bots, automation, or scripts to interact with the Platform
- Artificially inflate view counts, engagement, or performance metrics
- Submit content on behalf of another person without their explicit consent
- Attempt to manipulate, circumvent, or exploit the payout system
- Reverse engineer, decompile, or disassemble any part of the Platform
- Interfere with or disrupt the Platform's fraud detection systems
- Scrape, harvest, or collect data from the Platform without authorization
- Use the Platform for money laundering, fraud, or any illegal financial activity
- Impersonate Treffix, other users, or any third party
- Transmit viruses, malware, or other harmful code
11. Intellectual Property
The Treffix name, logo, platform interface, design, code, algorithms (including fraud detection systems), and all associated trademarks are the exclusive property of Lucyd B.V. No license to use Treffix's intellectual property is granted except as expressly stated in these Terms.
User-generated content (creator videos) remains the intellectual property of the respective creator. Campaign briefs, brand assets, and brand-provided creative materials remain the intellectual property of the respective brand.
12. Disclaimers & Limitation of Liability
12.1 Platform "As Is"
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. TREFFIX DOES NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
12.2 Earnings Disclaimer
Treffix makes no guarantees regarding earnings. Creator earnings depend entirely on content performance and brand approval decisions. Past performance data shown on the Platform is illustrative and does not guarantee future results.
12.3 Third-Party Service Outages
Treffix is not liable for view count inaccuracies, delays, or data loss caused by TikTok API outages, changes to the TikTok API, Instagram API outages, changes to the Instagram API, Stripe payment processing delays, Supabase infrastructure issues, or any other third-party service disruption.
12.4 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TREFFIX'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO TREFFIX IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) €50.
12.5 Exclusion of Consequential Damages
IN NO EVENT SHALL TREFFIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless Treffix, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; (d) any content you submit to the Platform; or (e) your violation of any applicable law.
14. Termination
14.1 Termination by Treffix
Treffix may suspend or permanently terminate your account at any time, with or without notice, for any violation of these Terms, including but not limited to fraud, view manipulation, or repeated prohibited conduct.
14.2 Effect on Creators
Upon termination of a creator account, access to in-progress campaign submissions is revoked. Funds already earned (i.e., where the Unlocked threshold was reached prior to termination) will still be paid out after the standard review process, subject to fraud investigation.
14.3 Effect on Brands
Upon termination of a brand account, active campaigns are paused and no new submissions are accepted. Pending payouts already owed to creators with verified completed work are honoured following the standard review process, with Treffix charging the brand's Stripe payment method.
14.4 Termination by User
You may close your account at any time by contacting legal@treffix.com. Closing your account does not waive obligations for active campaigns or outstanding payments.
15. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Netherlands and applicable European Union law, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms that cannot be resolved through Treffix's internal dispute process shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.
If you are a consumer in the EU, you may also be entitled to bring proceedings in the courts of the EU member state where you are habitually resident.
16. Changes to These Terms
Treffix may modify these Terms. For material changes, we will notify registered users at least 14 days before the effective date, except where a shorter period is legally necessary or required for security or fraud prevention. We will not retroactively increase a maximum campaign obligation already accepted. Express reacceptance may be required for material campaign or payment changes before a new campaign can be launched.
17. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and the Imprint, constitute the entire agreement between you and Treffix regarding the Platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Treffix's failure to enforce any provision of these Terms is not a waiver of its right to do so in the future.
- Assignment: You may not assign or transfer your rights under these Terms without Treffix's prior written consent. Treffix may assign these Terms freely.
- Force Majeure: Treffix is not liable for failure to perform obligations caused by circumstances beyond its reasonable control.
